These Terms of Service explain the rules that apply when you access or use Drive Safe Solutions, including company accounts, subscriptions, billing, dispatch tools, records, reports, and related services.
1. Acceptance of These Terms
By creating an account, purchasing a subscription, accessing the platform, or using any Drive Safe Solutions feature, you agree to these Terms of Service. If you are using the platform on behalf of a company or organization, you confirm that you have authority to accept these terms on its behalf.
If you do not agree with these terms, you must not access or use the platform.
2. About Drive Safe Solutions
Drive Safe Solutions is a software-as-a-service platform designed to help designated-driver and driver-service companies manage their operations.
The platform may include tools for dispatch, jobs, driver pairs, clients, company records, rates, wait time, kilometre tracking, invoices, reports, account management, billing, and related business functions. Drive Safe Solutions is not itself a designated-driver company, transportation provider, employer, dispatcher, insurer, or operator of your company.

You must provide accurate, current, and complete information when creating or maintaining an account.

4. Company Accounts and User Roles
A company account may contain multiple users with different roles and permissions. Company owners, managers, billing users, dispatchers, drivers, support drivers, viewers, or other authorized users may have different levels of access.
The company is responsible for assigning roles correctly, removing access when a user no longer requires it, and ensuring that each user only accesses information they are authorized to view or manage.
5. Subscriptions and Billing
Some platform features require a paid subscription. Subscription prices, billing intervals, account limits, included features, and plan details are shown on the applicable pricing or billing page.
Payments may be processed by a third-party payment processor, including Square. By submitting payment information, you authorize the applicable charges for the selected plan and billing interval.
You are responsible for keeping your billing information current and for reviewing your subscription details before completing a purchase.
6. Cancellation and Refunds
You may cancel your subscription through the available billing tools or by contacting Drive Safe Solutions.
Unless otherwise required by law or expressly stated at the time of purchase, subscription charges are non-refundable after a billing period begins.
Cancelling a subscription stops future renewal charges but does not automatically erase company or user records. Access to paid company features may continue until the end of the paid billing period or may be restricted sooner where payment has failed, been reversed, or violated these terms.

Your company retains responsibility for the information entered into the platform, including client information, trip records, addresses, notes, kilometre records, rates, invoices, employee or contractor information, and internal company records.
You confirm that you have all permissions, notices, consents, and legal authority required to collect, enter, store, and use that information.
Drive Safe Solutions may process and store company data only as necessary to provide, secure, maintain, support, and improve the platform, subject to the Privacy Policy.
9. Privacy and Personal Information
Our handling of personal information is described in the Drive Safe Solutions Privacy Policy. Your company is responsible for complying with privacy laws that apply to its collection and use of client, employee, contractor, driver, and other personal information.
10. Service Availability
We aim to keep the platform available and reliable, but uninterrupted access is not guaranteed.
The platform may be unavailable because of maintenance, upgrades, security issues, internet outages, third-party service failures, payment processor interruptions, hosting problems, emergencies, or events outside our reasonable control.
11. Software Changes
We may update, improve, replace, add, remove, or discontinue platform features. We may also change plan features, limits, pricing, or technical requirements. Where reasonably practical, material subscription changes will be communicated before they take effect.
12. Third-Party Services
The platform may connect with or rely on third-party services, including payment processing, hosting, email delivery, maps, analytics, document generation, or other integrations.
Third-party services are governed by their own terms and privacy policies. Drive Safe Solutions is not responsible for third-party outages, errors, security incidents, pricing changes, or service decisions.
13. No Transportation or Safety Guarantee
Drive Safe Solutions provides business management software only. The platform does not select, train, supervise, license, insure, or employ your drivers, support drivers, dispatchers, managers, or other personnel.

The platform is not an emergency service and must not be relied on as a substitute for emergency assistance, professional judgement, legal advice, accounting advice, or safety procedures.
14. Reports, Calculations, and Records
Reports, kilometre totals, wait-time calculations, rates, invoices, earnings, and other generated information depend on the data entered by users and the company settings selected. You are responsible for reviewing all generated information before relying on it for billing, payroll, taxes, legal compliance, insurance, customer disputes, or financial reporting.
15. Intellectual Property
Drive Safe Solutions and its associated software, source code, design, branding, logos, text, graphics, workflows, and platform features are owned by or licensed to Drive Safe Solutions and are protected by applicable intellectual property laws.
These terms give you a limited, non-exclusive, non-transferable, revocable right to use the platform during an active authorized subscription. No ownership rights are transferred to you.
16. Suspension or Termination
We may suspend or terminate access where reasonably necessary, including for:

17. Disclaimer of Warranties
To the maximum extent permitted by law, the platform is provided on an “as is” and “as available” basis. We do not guarantee that the platform will always be uninterrupted, error-free, secure, accurate, or suitable for every company, workflow, legal requirement, or business purpose.
18. Limitation of Liability
To the maximum extent permitted by law, Drive Safe Solutions will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, including lost profits, lost revenue, lost business, lost data, service interruption, customer claims, or reputational harm.
Where liability cannot be excluded, the total liability of Drive Safe Solutions arising from the platform or these terms will be limited to the amount paid by the affected company for the platform during the three months immediately before the event giving rise to the claim, unless a different limit is required by law.
19. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Drive Safe Solutions from claims, losses, damages, liabilities, and reasonable costs arising from your company’s use of the platform, your data, your business operations, your users, your violation of these terms, or your violation of applicable law or third-party rights.
20. Governing Law
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict of law principles. Any legal proceeding must be brought in a court of competent jurisdiction located in British Columbia, unless applicable law requires otherwise.
21. Changes to These Terms
We may update these terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the platform after updated terms take effect means you accept the revised terms.
22. General Terms
If any provision of these terms is found unenforceable, the remaining provisions will remain in effect.
A failure to enforce a provision is not a waiver of that provision.
These terms, together with the Privacy Policy and any applicable subscription or billing terms, form the entire agreement between you and Drive Safe Solutions concerning use of the platform.
